Terms of Use

Please review these terms of use (“Acme User Terms”) governing your access and use of the Acme website (“Website”) and the Acme wallet (“Wallet”), including related trademarks, software code, and other intellectual property (collectively, the “Acme Services”). Please read these Acme User Terms carefully as they contain important information regarding your legal rights and obligations.


By accessing or using the Acme Services, you represent and warrant that you are fully able and competent to enter into and comply with these Acme User Terms, and that you have the legal authority to bind yourself or any entity you represent. You further represent and warrant that you are of the legal age of majority in your jurisdiction as may be required to access and use the Acme Services. If you have not reached the age of majority in your jurisdiction but are at least thirteen (13) years of age, your legal guardian must review these Acme User Terms and explain them to you before you use the Acme Services.


The Website and Wallet are copyrighted works belonging to Acme Labs DMCC (“Acme,” “Company,” “us,” “our,” and “we”). Your submission of information, including personal information, through or in connection with the Acme Services is governed by the Acme Labs DMCC Privacy Policy, as updated from time to time, available at https://www.acmedao.com/privacy (“Privacy Policy”). In order to access or use the Acme Services, you will be required to first accept the Privacy Policy. You will be prompted to accept the Privacy Policy upon your initial registration of an Account by clicking to accept. You will be prompted to accept updates to the Privacy Policy from time to time when you log in to your Account by clicking to accept the updated Privacy Policy.


By accepting the Privacy Policy, and any updates thereto, you consent to us collecting, accessing, using, processing, and retaining any personal information you provide to us in order to provide the Acme Services to you. This consent does not affect any rights or obligations that we or you have in accordance with data protection laws, privacy laws, and regulations.


Some jurisdictions (which may include the United Arab Emirates) do not allow mandatory arbitration, prohibitions against class actions or governing law and forums other than where the individual consumer is located. If you are located in one of these jurisdictions, the following sentence may not apply to you and you may have additional rights. These terms require the use of arbitration, as set forth in more detail in Section 8 below, on an individual basis to resolve disputes, rather than jury trials or class actions, and also limit the remedies available to you in the event of a dispute.


1. Wallet


1.1 Wallet Creation.


The Wallet is a web-based smart wallet that provides users with access to an interface allowing them to execute instructions on a variety of Ethereum-compatible and Algorand blockchain networks (“Supported Blockchain Networks”). With the Wallet, users can:


  • View balances for digital assets that are compatible with the Wallet (“Blockchain Assets”)

  • Initiate transfers and transactions involving Blockchain Assets

  • Authenticate their account for use with other products and games

  • Access decentralized applications (“DApps”)

  • Engage in one or more peer-to-peer transactions with one or more Blockchain Assets via third-party DApps

  • Bridge Blockchain Assets from one Supported Blockchain Network to another


To create an account and open a Wallet, users must provide an email address or a user ID for either a Google, Facebook, or Apple account (collectively “Login Credentials”) to be associated with the Wallet. If a user has not reached the age of majority in their jurisdiction but is at least thirteen (13) years of age, the user’s parent or legal guardian must sign up for a Wallet on behalf of the user by providing an email address to be associated with the Wallet and agreeing to these terms of use.


By accepting the Acme User Terms and using the Wallet, you acknowledge and agree that you have read, understood, and agree to be bound by the following definitions:


  • "Blockchain Assets" refers to digital assets that are compatible with the Wallet and can be stored, transferred, and tracked using blockchain technology.

  • "Decentralized applications" (DApps) refer to software applications that run on a decentralized network, such as a blockchain, and are not controlled by a single entity.


When you use the Acme Services, you may also be using the services of one or more third-parties. Your use of third-party services ("Third-Party Services") will be subject to the privacy policies, terms of use, and similar policies and terms of those third-party services, as well as any applicable fees.


1.2 Wallet Access.


Acme Checkout, the Acme Wallet, and the Acme Mobile app are web-based software that allow you to access and transfer your Blockchain Assets. You have full control over the assets accessible through the Wallet at any time and can choose to transfer them to a different wallet. Acme does not have custody of the assets accessible through the Wallet and does not have the ability to transfer them. Only you have the ability to transfer your assets or initiate other transactions recorded on the blockchain.


When you use Acme Checkout on your web browser or the Acme mobile app on your phone, you generate and access your private keys by clicking the login button and connecting to your Login Credentials provider using OAuth. A 5/9 consensus mechanism over a network is used to generate and access your key shares against your Login Credentials in a non-custodial way. Acme never has access to your private keys and has no ability to recover them if you lose access to your keys or your Login Credentials.


You acknowledge and agree that it is your responsibility to ensure the security and confidentiality of your Login Credentials and your private keys, and to have a backup plan in place in case you lose access to them. Acme will not be held responsible for any loss or damage that may arise as a result of your failure to protect your Login Credentials or private keys. You are solely responsible for securing your Login Credentials and any device you use to access your Wallet. You understand that anyone who obtains your Login Credentials and access to your device may be able to access and transfer any Blockchain Assets accessible through your Wallet, with or without your authorization. Acme is not responsible for any unauthorized access or use of the Wallet, including the theft of your private key or unauthorized access to your Account.


You acknowledge and accept the risk that using the Wallet may expose you to certain exploits, and that Acme is not responsible for any such exploits or any losses incurred as a result. You also accept the risk that the Wallet may contain bugs or errors, as the technology is relatively new. The Wallet is provided on an "as is" and "as available" basis, and you assume all risks associated with its use.


The value of any Blockchain Asset, where value is attached to such an asset, may fluctuate. Acme does not guarantee the price or value of any Blockchain Asset accessible through the Wallet and is not responsible for any losses resulting from value fluctuation or price slippage of such assets.

You are solely responsible for determining the tax implications and tax reporting requirements associated with transactions involving Blockchain Assets accessible through your Wallet, and for paying any applicable taxes. Acme is not responsible for determining the tax implications of such transactions, for reporting them, or for paying any applicable taxes.


There are several risks associated with using Blockchain Assets, including the risk of losing private keys, the risk of theft resulting from third parties discovering your private key, value fluctuation on the secondary market, disruptions to the relevant blockchain caused by network congestion, lack of usability of the assets due to a hard fork or other disruption to the relevant blockchain, or errors or vulnerabilities in the smart contract code associated with a given Blockchain Asset or transactions involving Blockchain Assets. In addition, transfers on the Ethereum and other blockchains are generally irreversible. Once an instruction, signed by the required private key(s), to transfer a Blockchain Asset from one blockchain address to another has been executed, such a transaction cannot be undone.


1.3 Fees.


You may be charged fees in connection with some of the Acme Services, including fees related to Swaps or Bridges that you execute by accessing third-party Dapps. Acme will disclose the fees for the applicable Acme Service to you at the time you access the service. Acme reserves the right to change these fees at any time, in its sole and absolute discretion, provided that any such changes are reasonable and not disproportionate to the services being provided.


You may incur charges from third parties for the use of Third-Party Services. For example, you may be charged fees through the Dapps that you access through the Wallet. These third-party fees are not charged by Acme and are not paid to Acme. Acme shall not be liable, in any way, for fees charged to you by Third-Party Services linked to or accessed through the Acme Services.


Although Acme will attempt to provide accurate fee information, such information is only an estimate of fees and may vary from the actual fees paid to use the Acme Services and interact with the relevant blockchain. The pricing information for digital assets may be higher or lower than prices available on platforms providing similar services.


In connection with each Swap, you understand and agree that the swap rates and digital asset prices displayed are estimates provided using third-party data feeds, and that they may change at any time. The swap rates or digital asset prices displayed through the Acme Services, including on the Swap interface, are estimates only and may be inaccurate. Acme is not liable for, and you hereby release Acme from, any losses or claims arising from inaccurate estimates of swap rates or digital asset prices displayed through the Acme Services.


Each Supported Blockchain Network charges a fee for engaging in a transaction on the network. These network transaction fees fluctuate over time due to various factors. You are solely responsible for paying the network transaction fees associated with transactions you engage in on each blockchain network using the Wallet. You are also solely responsible for any other third-party fees that may be incurred in connection with your use of the Wallet.


By using the Acme Services, you acknowledge that you have read and understood this clause and agree to be bound by its terms. You also understand that the fees and charges associated with using the Acme Services and interacting with third-party Dapps may change over time and that it is your responsibility to stay informed of any such changes. If you have any questions about the fees or charges associated with the Acme Services, you should contact Acme directly before accessing the services.


1.4 Third-Party Services.


The Acme Services may contain links or provide access to Third-Party Services, including Dapps. These Third-Party Services may offer certain features, such as Swaps and Bridges. When using a Dapp or other Third-Party Services, you understand that your assets are not being transferred to Acme. Acme provides access to Third-Party Services as a convenience, but does not have control over the content provided by these services, does not endorse them, and is not responsible for the availability or legitimacy of their content, products, or services. Acme makes no warranties or representations, express or implied, about such linked Third-Party Services, the third parties that own and operate them, the information contained on them, or the suitability of their products or services. You are solely responsible for and assume all risk arising from your use of any third-party website, applications, or resources.


1.5 Other Disclaimers.


Acme does not operate a Blockchain Asset exchange platform or offer trade execution or clearing services, and therefore has no oversight, involvement, or control over your transactions using the Acme Services. All transactions between users of Acme Services are executed peer-to-peer directly between the users' Ethereum (or other network) addresses through third-party smart contracts. You are responsible for complying with all laws that may apply to or govern your use of the Acme Services.


Acme is not registered or licensed by the UAE Securities and Commodities Authority (SCA), the Commodity Futures Trading Commission (CFTC), the Securities and Exchange Commission (SEC), or any financial regulatory authority in the United Arab Emirates, the United States, or any other jurisdiction. No financial regulatory authority has reviewed or approved the use of the Acme Services. The Acme Services do not constitute advice or a recommendation concerning any commodity, security, or other Blockchain Asset or instrument. Acme is not acting as an investment adviser or commodity trading adviser to any person or entity. Acme does not make any representations or warranties regarding the functionality of any Supported Blockchain Network, or that any Supported Blockchain Network will operate free from interruptions, delays, defects, and/or errors that may delay, hinder, or prevent the transmission of transactions or messages to or on such Supported Blockchain Network. The Acme Services rely on emerging technologies, such as the Ethereum network.


2. Representations.


You make the following representations regarding your use of the Wallet:


(a) You represent and warrant that you are legally permitted to use the Acme Services in your jurisdiction, including owning Blockchain Assets and interacting with the Acme Services in any way. You also represent that you are responsible for ensuring compliance with the laws of your jurisdiction and acknowledge that Acme is not liable for your compliance or non-compliance with such laws.


(b) You represent and warrant that you are not a person or entity identified on: (i) any list established under United Arab Emirates laws or regulations that take legislative measures against terrorist financing and against financial dealings with certain sanctioned individuals and entities; (ii) a list of specially designated national and/or blocked persons maintained by the United Arab Emirates Ministry of Foreign Affairs and International Cooperation; (iii) a list of denied persons or parties of concern maintained by the United Arab Emirates Ministry of Economy; or (iv) any similar list provided by a government agency or regulatory body in the United Arab Emirates or internationally.


(c) You represent and warrant that you are not a resident of, or located in, any of the countries listed on https://support.acmedao.com/ to which the United Arab Emirates has applied legal restrictions.


(d) You represent that you will not (or attempt to) purchase, sell, rent, or give away access to your Wallet, create a Wallet using a false identity or information, or on behalf of someone other than yourself.


(e) You represent that you will not disrupt, interfere with, or otherwise adversely affect the normal flow of the Wallet, or otherwise act in a manner that may negatively affect other users' experience when using the Wallet. This includes taking advantage of errors and any other act that intentionally abuses or goes against the design of the Wallet.


(f) We welcome Feedback, which includes comments, ideas, and suggestions for improvements to the Acme Services. You grant to us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable, and transferable license under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based on, or improvements with respect to, and otherwise exploit and commercialize the Feedback and any such derivative works and improvements in any manner and for any purpose.


Acme reserves the right to determine what conduct it considers to be a breach of these representations. As a result, Acme may take action, including prohibiting you from accessing services provided by Acme, in whole or in part. Any restrictions imposed by Acme will not affect your ability to transfer your Blockchain Assets.


3. Website Terms


3.1 Access to the Website.


(a) Scope of License. Subject to these terms of use, Acme grants you a non-transferable, non-exclusive, revocable license to use the website for your own personal and non-commercial purposes. You are permitted to access and view the content and use any features or functionality provided on the website for these purposes.


(b) Restrictions on Use. You may not use the website or its content for any commercial purposes, including but not limited to selling, renting, leasing, distributing, or hosting the website or any content displayed on the website. You may not modify, decipher, disassemble, reverse compile or reverse engineer, or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the website. You may not access the website in order to build a similar or competitive website, product, or service. You may not translate, or create derivative works, adaptations, translations, or compilations of any part of the website. You may not rent, lease, distribute, or transfer any of the rights that you receive under these terms of use. You may not frame or mirror any part of the website without Acme's express prior written consent. You may not create a database by systematically downloading and storing content related to the website. You may not use any robot, spider, site search/retrieval application, or other manual or automatic device to retrieve, harvest, index, "scrape," "data mine," or gather content related to the website or reproduce or circumvent the navigational structure or presentation of the website without Acme's express prior written consent. No part of the website may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means except as expressly stated in these terms of use.


(c) Disclaimer of Warranties. The website is provided "as is" without any warranties of any kind. You use the website at your own risk. Acme makes no representations or warranties of any kind, express or implied, as to the operation of the website or the information, content, materials, or products included on the website.


(d) Limitation of Liability. In no event shall Acme be liable for any damages arising out of or in connection with the use of the website, including but not limited to direct, indirect, incidental, consequential, or punitive damages.


4. Disclaimers


THE LAWS IN SOME JURISDICTIONS (WHICH MAY INCLUDE DUBAI, UNITED ARAB EMIRATES) DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, INCLUDING THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IF THESE LAWS APPLY TO YOU, THE FOLLOWING LIMITATION MAY NOT APPLY TO YOU AND YOU MAY HAVE ADDITIONAL RIGHTS.


THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS, AND ACME (AND OUR SUPPLIERS) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE. IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SERVICES, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF FIRST USE.


ACME DOES NOT ENDORSE ANY OTHER THIRD-PARTY AND SHALL NOT BE RESPONSIBLE IN ANY WAY FOR ANY TRANSACTIONS YOU ENTER INTO WITH OTHER USERS. YOU AGREE THAT ACME WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGES OF ANY SORT INCURRED AS A RESULT OF ANY INTERACTIONS BETWEEN YOU AND OTHER USERS.


5. Term and Termination


These terms of use will remain in full force and effect while you use the Acme Services. We may suspend or terminate your rights to use the Acme Services at any time, without notice and at our sole discretion, including for any use of the Acme Services in violation of these terms of use. Upon termination of your rights under these terms of use, your right to access and use the Acme Services will terminate immediately. You understand that any termination of your rights may involve removal of your user content from our live databases. Acme will not have any liability whatsoever to you for any termination of your rights under these terms of use, including for deleting your account or blacklisting any network address you provide to us. Even after your rights under these terms of use are terminated, the following provisions will remain in effect: Section 3 (Ownership), Section 4 (Disclaimer of Warranties), Section 6 (Limitation of Liability), and Section 7 (Governing Law).


6. Indemnification


You agree to indemnify and hold Acme (and its officers, employees, and agents) harmless, including costs and attorneys' fees, from any claim or demand made by any third-party due to or arising out of: (i) your use of the Acme Services; (ii) your violation of these terms of use; (iii) your violation of applicable laws or regulations; (iv) your user content; or (v) third-party services. Acme reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Acme. Acme will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.


7. Limitation on Liability


THE LAWS IN SOME JURISDICTIONS (WHICH MAY INCLUDE DUBAI, UNITED ARAB EMIRATES) DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, INCLUDING THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IF THESE LAWS APPLY TO YOU, THE FOLLOWING LIMITATION MAY NOT APPLY TO YOU AND YOU MAY HAVE ADDITIONAL RIGHTS.


TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACME WILL NOT BE LIABLE TO YOU OR ANY THIRD-PARTY FOR ANY LOST PROFITS, LOST DATA, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE ACME SERVICES, EVEN IF ACME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE SERVICES IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR COMPUTER SYSTEM, OR LOSS OF DATA RESULTING THEREFROM. ACME WILL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO SOFTWARE, PRODUCTS, SERVICES, AND/OR INFORMATION OFFERED OR PROVIDED BY THIRD-PARTIES AND ACCESSED THROUGH THE ACME SERVICES.


ACME WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING OUT OF YOUR FAILURE TO KEEP YOUR PRIVATE KEYS OR LOGIN CREDENTIALS TO YOUR WALLET SECURE OR ANY OTHER UNAUTHORIZED ACCESS TO OR TRANSACTIONS INVOLVING YOUR WALLET.


TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THESE TERMS OF USE, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS OF USE (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION) WILL AT ALL TIMES BE LIMITED TO A MAXIMUM OF FIFTY US DOLLARS (US$50). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT.


8. Dispute Resolution


Please read this section carefully. It is part of your contract with Acme and affects your rights. You and Acme are each considered "Parties" for the purpose of this section. The laws in some jurisdictions (which may include Dubai, United Arab Emirates) do not allow mandatory arbitration, prohibitions against class actions, or governing law and forums other than where the consumer is located. If you are located in one of these jurisdictions, the following may not apply to you and you may have additional rights.


8.1 Mediation.


If any dispute arises between the Parties relating to the application, interpretation, implementation, or validity of these terms of use, the Parties agree to seek to resolve the dispute or controversy through mediation with the Dubai International Arbitration Centre before pursuing any other proceedings. Nothing in these terms of use shall preclude any Party from seeking injunctive relief in the event that the Party perceives that without such injunctive relief, serious harm may be done to the Party. Any Party to the dispute may serve notice on the others of its desire to resolve a particular dispute by mediation. The mediator shall be appointed by agreement between the Parties or, if the Parties cannot agree within five days after receipt of the notice of intention to mediate, the mediator will be appointed by the Dubai International Arbitration Centre. The mediation will be held in Dubai, United Arab Emirates. The Parties agree to attempt to resolve their dispute at mediation. The costs of the mediator shall be shared equally by the Parties. If the dispute has not been resolved within thirty days of the notice of desire to mediate, any Party may terminate the mediation and proceed to arbitration as set out below.


8.2 Arbitration.


Subject to the mediation provisions set out above, if any dispute or controversy arises between the Parties relating to the interpretation or implementation of any of the provisions of this Agreement, the Parties agree to resolve the dispute through binding arbitration at the Dubai Multi Commodities Centre (DMCC) Arbitration Centre or any other arbitration institution agreed upon by the Parties. Any Party may serve notice of its desire to refer a dispute to arbitration. The arbitration shall be conducted by a single arbitrator who is neutral and independent, and has the necessary qualifications and experience to handle the specific issues in the dispute. The arbitration shall be held in Dubai, United Arab Emirates. The arbitration shall proceed in accordance with the provisions of the Dubai Multi Commodities Centre (DMCC) Arbitration Law or any other arbitration law agreed upon by the Parties. The decision of the arbitrator shall be final and binding on the Parties, and no appeal shall lie therefrom. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction in Dubai, United Arab Emirates. The Parties shall share the costs of the arbitration equally, unless the arbitrator determines that the Parties should bear their own costs based on the circumstances of the case.


9. Disclosures.


Acme is located in Dubai, United Arab Emirates. If you are a resident of the United Arab Emirates and have any complaints or issues with the Acme Services, you may report them to the relevant consumer protection agency in the United Arab Emirates or contact the Ministry of Economy's Consumer Protection Department for assistance with resolving any disputes. You can reach them by telephone at 800-6000 or by email at [email protected].


10. Electronic Communications.


The communications between you and Acme will be primarily electronic, whether you use the Acme Services or send us emails, or whether Acme posts notices on the Acme Services or communicates with you via email. For the purposes of this Agreement, you: (i) consent to receive communications from Acme in electronic form; and (ii) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Acme provides to you electronically will satisfy any legal requirement as if they were provided in a hardcopy writing. This does not affect your non-waivable rights. Please note that you may be required to provide consent to receive electronic communications and do business electronically as a condition of using the Acme Services. If you do not consent, you may not be able to use the Acme Services.


11. Governing Law and Jurisdiction


These Acme User Terms and any dispute or claim arising out of or in connection with their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of the United Arab Emirates. You agree that the courts of the United Arab Emirates shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with the subject matter or formation (including non-contractual disputes or claims) of these Acme User Terms.

If you are located outside of the United Arab Emirates, you use or access the Acme Services solely at your own risk. The Acme Services may not be appropriate or available for use in some jurisdictions, and Acme and its partners do not represent or warrant that the Acme Services or any part thereof are appropriate or available for use in any particular jurisdiction other than the United Arab Emirates. In choosing to access the Acme Services, you do so on your own initiative and at your own risk, and you are responsible for complying with all local laws, rules, and regulations.


Please note that some jurisdictions may have consumer protection and other legislation that may apply to the services and that may not allow certain provisions, such as restrictions on governing law or jurisdiction, limitations of liability, and exclusions of certain warranties. If any such provision is specifically prohibited by applicable law, it may not apply to you.


12. General


12.1 Entire Terms. These Acme User Terms constitute the entire agreement between you and Acme regarding the use of the Acme Services. The section titles in these Acme User Terms are for convenience only and do not have any legal or contractual effect. If any provision of these Acme User Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Acme User Terms will remain in effect and the invalid or unenforceable provision will be modified to be valid and enforceable to the maximum extent permitted by law. You confirm that you are acting on your own behalf and not for the benefit of any other person, and that your relationship with Acme is that of an independent contractor. These Acme User Terms and your rights and obligations under them may not be assigned, subcontracted, delegated, or transferred by you without Acme's prior written consent, and any such attempt will be null and void. Acme may freely assign these Acme User Terms, and they will be binding upon any assignees.


12.2 Changes. Unless otherwise required by applicable laws, these Acme User Terms are subject to occasional revision. If Acme makes any substantial changes, you will be prompted to review and accept the updated Acme User Terms when you next log in to your account. These changes will be effective upon your acceptance of the updated Acme User Terms. Continued use of the Acme Services following notice of such changes will indicate your acknowledgement of these changes and agreement to be bound by the terms and conditions of the updated Acme User Terms.
